By accessing or using any Pleneo website, portal, cloud platform, firmware interface, or API (collectively, the “Services”), you agree to these Terms & Conditions (“Terms”).
If you disagree, do not use the Services.
2. Eligibility
You must be at least 18 years old and have authority to bind your organization to these Terms.
3. Account Security
You are responsible for maintaining confidentiality of credentials and for all activity under your account.
Pleneo is not responsible for unauthorized access due to your failure to secure credentials.
4. Acceptable Use
You agree not to:
Access another user’s account.
Use the Services for competitive evaluation or reverse engineering.
Use the Services to infringe IP, violate law, or transmit harmful code.
Interfere with or overload Pleneo’s infrastructure.
Conduct any activity that may damage, disable, or impair the Services.
Pleneo may monitor use to ensure compliance.
5. Intellectual Property
All content, trademarks, logos, and software belong to Pleneo or its licensors.
Use does not grant ownership or license beyond what is explicitly stated.
6. Service Availability and Force Majeure
Pleneo strives for continuous availability but provides the Services “as is.”
Temporary interruptions may occur due to maintenance, updates, or events beyond Pleneo’s control, including network outages or cyber incidents.
Pleneo bears no liability for downtime, data loss, or unavailability.
7. Customer Responsibilities
You are solely responsible for maintaining appropriate backups, access control, and compliance within your organization’s environment.
8. Feedback
Any suggestions or feedback you provide may be used freely by Pleneo without obligation or compensation.
9. Third-Party Links and Integrations
The Services may link or integrate with third-party tools.
Pleneo is not responsible for their content, availability, or practices.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
PLENEO MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SECURITY.
USE OF THE SERVICES IS AT YOUR OWN RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
PLENEO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DATA LOSS, BUSINESS INTERRUPTION, SECURITY BREACH, SYSTEM FAILURE, OR LOSS OF PROFITS.
PLENEO’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU FOR SOFTWARE ONLY ( IF ANY ) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD $0 IF NO FEES WERE PAID.
12. Indemnification
You agree to indemnify, defend, and hold harmless Pleneo, its affiliates, officers, employees, and distributors against all claims, damages, losses, and expenses (including attorneys’ fees) arising from your use of the Services, breach of these Terms, or violation of any law or right.
13. Compliance and Law Enforcement
Pleneo may disclose information as required by law or to protect its rights, users, or systems.
Disclosures will comply with applicable data-protection laws.
14. Dispute Resolution and Governing Law
These Terms are governed by the laws of Singapore.
All disputes shall be exclusively resolved by binding arbitration administered by JAMS under its International Arbitration Rules.

Language: English
Class actions and jury trials are waived.
Arbitration is the sole and exclusive remedy.
15. Modifications
Pleneo may modify these Terms at any time.
Updated versions will be posted on Pleneo’s websites, and continued use constitutes acceptance.
16. Entire Agreement and Severability
These Terms, together with the Pleneo Privacy Policy and EULA, constitute the entire agreement.
If any provision is held invalid, the remainder remains enforceable.
Failure to enforce a right is not a waiver.
